Terms and Conditions
	To be an authorized affiliate of Applied Innovations, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the Applied Innovations (www.appliedi.net) service as an affiliate. By signing up for the Applied Innovations (www.appliedi.net) affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Terms & Conditions This Agreement, the Applied Innovations Affiliate Agreement (“Agreement”) is effective as of the date the Affiliate applies to become an affiliate and is between Applied Innovations Corporation (“AppliedI” or “Applied Innovations”) and the Affiliate. Applied Innovations Responsibilities Applied Innovations will provide all information required to allow the Affiliate to make appropriate links, text ads and banner ads from the Affiliate’s website to the Applied Innovations website. Applied Innovations will track the web hosting account sign-ups referred from the Affiliates website to Applied Innovations and will provide information to the Affiliate regarding their generated traffic and sales. Affiliate’s Responsibilities The Affiliate will ensure that at all times they promote and represent Applied Innovations services in a manner that will refer the maximum number of customers to Applied Innovations. The Affiliate agrees to prominently display and all text, banner, links and buttons to ensure that the above condition is met. The Affiliate agrees to represent Applied Innovations to the best of its abilities and shall not directly or indirectly refer to Applied Innovations in any fashion that would be deemed derogatory or desultory, not will the Affiliate act in a fashion that may damage the reputation of Applied Innovations. Terms of the Agreement and Termination The term of this agreement commences upon Applied Innovations acceptance of the Affiliates application to become an Affiliate and may end when terminated by either party. Either Applied Innovations or the Affiliate may terminate this agreement at any time, with or without cause, by notifying the other in writing of their intention to terminate the agreement. Affiliates are only eligible to earn referral fees on sales occurring during the term of this agreement and any fees earned through to the date of termination of this agreement shall remain payable. Modification Applied Innovations may modify any of the terms and conditions contained in this agreement, at any time and at the sole discretion of Applied Innovations, by posting a change notice or a new agreement on this site (or by email). Modifications may include changes in the scope of available referral fees, fee schedules, payment procedures and Affiliate Program rules. Should the Affiliate deem any modification unacceptable, the only recourse is to terminate this agreement. The Affiliate’s continued participation in the Affiliate program following Applied Innovations’s posting of a change or new agreement will constitute binding acceptance of the change. Limitation of Liability Applied Innovations shall not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Affiliate Program, even if Applied Innovations has been advised of the possibility of such damages. Further, Applied Innovations’s aggregate liability arising with respect to this Agreement and the Affiliate program will not exceed the total referral fees paid or payable to the Affiliate under this Agreement. The agrees that it shall defend, indemnify, save and hold harmless Applied Innovations from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees (“Liabilities”) asserted against Applied Innovations, its agents, its customers, servants, officers, and employees, that it may initiate or that may arise related in any way to the Affiliates business involving Applied Innovations. Payments The amount owing to the Affiliate for any period will be a one-time fee as per the values stated in http://www.appliedi.net/affiliates/. The Commission rate is subject to change at any time. Affiliate’s commission sale mature after a period of 90 days from the date of the referred customer’s sign-up, provided that the customer accounts are still in good standing at that time. All payments to Affiliate will be made once the total sum of all mature and valid commissions in Affiliate’s account are greater than or equal to $100.00. Applied Innovations reserves full right to determine total commission and the Affiliate irrevocably consents to Applied Innovations determination of the Total Commission. Applied Innovations will pay the referral fees on sales of all Applied Innovations web-hosting services sold only to a third party. Referral commissions do not apply to Affiliates own accounts, or to any party related in any way to the Affiliate accounts. This referral fee will be on a one-time basis per account sold so long as third party is a customer and the account is in good standing at the time its commission is to mature (90 days). The Affiliate’s entitlement to a referral fee will accrue only if the customer: 1. Accesses Applied Innovations website through the use of a “Link on the Affiliate’s web site”; 2. Before exiting Applied Innovations website applies for a web hosting package; 3. Full payment has been remitted and cleared and settled into Applied Innovations account; and 4. Pays online by credit card, including but not limited to, American Express, Visa, MasterCard and Discover/Novus, offline via an acceptable payment process or through PayPal. Independent Investigation The Affiliate acknowledges that the Affiliate has read this agreement and agrees to all its terms and conditions. The Affiliate further understands that Applied Innovations may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement or may operate web sites that are similar to or compete with the Affiliates web site. The Affiliate has independently evaluated the desirability of participating in the program and is not relying on any representation, guarantee or statement other than set forth in this agreement. Jurisdiction This agreement shall be governed and construed in accordance with the laws of the State of Florida, USA. Both parties agree that any dispute arising out of this Agreement or any relationship between the parties will be resolved only in the state courts in the State of Florida and in no other jurisdiction. Each party submits to personal jurisdiction in the State of Florida.
